Netflix Revises Warner Bros. Deal to an All-Cash Offer

In an effort to expedite its acquisition of Warner Bros. Discovery (WBD), Netflix has revised the terms of the existing agreement it struck with the WBD board to an all-cash offer, replacing the previous cash-and-stock agreement.

The value of the revised offer is still the same at $27.75 per WBD share, and the total valuation of the company still amounts to $82.7 billion. The move from Netflix comes as rival bidder Paramount continues to intensify efforts to pressure WBD’s shareholders into accepting its $30 per share, all-cash offer. On top of the cash offer, Paramount is also guaranteeing an additional $40 billion from its CEO to sweeten the deal.

“The WBD Board continues to support and unanimously recommend our transaction, and we are confident that it will deliver the best outcome for stockholders, consumers, creators and the broader entertainment community,” said Ted Sarandos, co-CEO of Netflix. “Our revised all-cash agreement will enable an expedited timeline to a stockholder vote and provide greater financial certainty at $27.75 per share in cash, plus the value from the planned separation of Discovery Global. Together, Netflix and Warner Bros. will deliver broader choice and greater value to audiences worldwide, enhancing access to world-class television and film both at home and in theaters.”

According to Netflix, the amended all-cash offer was unanimously approved by the Board of Directors of both Netflix and WBD. Netflix intends to finance the transaction through a combination of cash on hand, available credit facilities, and “committed financing.”

Paramount has seen its attempts to close the deal rebuffed by WBD, prompting it to sue WBD to reveal more information about its Netflix agreement. Attempts by the company to expedite the lawsuit have also been rejected by the court.

Netflix announced it reached an agreement to acquire WBD in December, beating rivals Paramount and Comcast to the deal. The announcement came after WBD said it was exploring a sale in October.
